By accessing or using the Site, you agree to be bound by the terms and conditions below (these "Terms and Conditions"). These Terms and Conditions expressly incorporate by reference the Site's privacy policy located at https://stych.tv (the “Privacy Policy”) and any guidelines, rules or disclaimers that may be posted and updated on specific webpages or on notices that are sent to you. You explicitly agree to these Terms and Conditions by your use of the Site. If you do not agree with these Terms and Conditions, you may not access or use the Site. You are responsible for ensuring that all persons who access the Site through your internet connection are aware of these Terms and Conditions and comply with them. You agree that no joint venture, partnership, employment, or agency relationship exists between you and STYCH DNA as a result of these Terms and Conditions or your use of the Site.

STYCH DNA reserves the right to change, modify, add or remove portions of these Terms and Conditions in its sole discretion at any time and without prior notice. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Site or portions of it using your username, password, or other security information. You also agree to ensure that you sign out of your account at the end of each session.

You shall take reasonable precautions in the event that you access your account from a public or shared computer so that others are not able to view or record your password, other personal information, or any information or content that may be visible on the site.

We have the right to disable any account, username, password, or other identifier, provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated or are at risk of violating any provision of these Terms & Conditions.

By registering to use the Site, you authorize, agree, and consent to receive e-newsletters, invitations to live and/or digital events, marketing, advertising, promotional, or other commercial materials ("Promotional Materials") from STYCH DNA, its affiliates, business partners, and sponsors by email or other means of communication. Such materials may contain promotional content about pharmaceutical products, ophthalmic devices, and other offerings related to our services.

You may print or download Content from the Site for your own personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices. You may not engage in systematic retrieval of Content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without prior written permission from STYCH DNA.

User Contributions

The Site may contain message boards, forums, user comment functionality, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Site.

All User Contributions must comply with the content standards set out in these Terms and Conditions.

Any User Contribution you post to the Site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Site, you grant us and our affiliates and service providers, and each of our and their respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

By using the Site, you represent and warrant to us that:

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of our and their respective licensees, successors, and assigns.
  • All of your User Contributions do and will comply with these Terms and Conditions.
  • All of your User Contributions do and will comply with all applicable health and information privacy laws, including without limitation the HIPAA Privacy Rule and the GDPR.
  • You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

Standards for User Contributions

This clause shall apply to all audio-visual recordings, chat content, annotations, images, and information (including video, still images, and sound) made by or on behalf of the Customer (and/or applicable healthcare establishment(s)) using the STYCH DNA Site or uploaded onto the STYCH DNA Site, which shall be considered User Contributions as defined in these Terms and Conditions, subject to any additional or alternative terms set out in any agreement between you and us.

You acknowledge and agree that User Contributions shall be hosted by STYCH DNA as part of the services offered through the Site (the “Services”). You further acknowledge and agree (as applicable) that you are responsible and liable for any User Contributions produced in receipt of or in connection with use of the Site and Services.

You shall not, and shall not permit anyone else to through your account, upload or submit to the Site any User Contributions that: (i) do not comply with these Terms and Conditions; (ii) do not comply with applicable law; or (iii) infringe or misuse any third-party intellectual property rights or confidential information.

User Contributions shall remain your property, subject to the licenses and rights granted herein. However, you acknowledge that you and us may make separate arrangements regarding ownership of User Contributions with healthcare establishments or other third parties. You, or your applicable healthcare establishment(s), retain all ownership, right, title, and interest, including all intellectual property rights, in and to the User Contributions.

You hereby grant, and shall procure the grant by your applicable healthcare establishment(s), to STYCH DNA a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use your User Contributions (including to reproduce, distribute, analyze, modify, transmit, display, or create derivative works of it) for the purpose of operating, demonstrating, promoting, and improving the Services and/or as anticipated by these Terms and Conditions (including any data protection agreements between STYCH DNA, yourself, and/or the applicable healthcare establishment) (collectively, the “Content License Purposes”). This license will continue for the duration required to fulfill the applicable Content License Purpose(s), save to the extent that our use of the User Contributions prior to such date or obligations at law require otherwise (for the avoidance of doubt, STYCH DNA shall not be under any obligation to recall any User Contributions from existing use, nor to delete copies that are required for legal or regulatory purposes).

You hereby explicitly warrant that you have received all necessary waivers, permissions, or other requirements by law in order to post your User Contributions to the Site.

Requirements of Members:

STYCH DNA has made commercially reasonable efforts to ensure the accuracy and reliability of the information provided on the site, including user contributions. However, STYCH DNA does not guarantee the accuracy of any information on the site and shall not be liable for any errors or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to adjust content, promotions, and other information on the site as needed. STYCH DNA and its contributors disclaim any liability, and you hereby release STYCH DNA and its contributors from any damage or claims arising from your use of the information provided on this site, including content uploaded by users. Please note that STYCH DNA does not provide medical advice and is not a substitute for professional medical consultation.

Members agree to provide truthful information when joining the site. STYCH DNA reserves the right to remove members at its discretion, particularly if any user contributions are deemed inappropriate, offensive, or in violation of applicable laws and regulations. STYCH DNA is not responsible for the guidance provided by faculty, claims made, or posts by members. Members may be required to disclose financial or consulting relationships.

Members may, but are not required to, use the "red flag" button on the site to flag any video content that is inappropriate, offensive, unprofessional, or contains any patient personal health information (PHI). STYCH DNA reserves the right to edit or remove such content from the site at its sole discretion.

You agree that any content, information, or materials accessed through the site are strictly for educational purposes only and do not establish a patient-doctor relationship or constitute clinical care. You also agree not to record any video streams unless you have explicit authorization from both the streaming surgeon and the patient. Violation of this policy may subject you to legal penalties.

Members who are accepted into the Surgical Streaming Society (SSS) agree to pay the monthly subscription fee associated with SSS membership to maintain SSS member access to the site. If the subscription lapses or the member cancels their SSS membership, the account will revert to a Registered Viewer account, which does not require a membership fee. In the event that a Membership Subscription is canceled before the end of the month, STYCH DNA will not refund any fees already paid for that month.

As of the date of these Terms and Conditions, the subscription fee for Registered Viewer accounts is zero, and the subscription fee for SSS Member accounts is $20/month.

Streaming Members

Those SSS Members who are granted special streaming privileges (“Streaming Members”) will be able to stream surgical or other video live on the platform as User Contributions. By streaming on the Site, you confirm that written informed consent has been obtained from the patient to stream and record the video and audio of their surgery with other authorized physicians, students, and industry representatives for educational and training purposes. Upon request, you agree to provide such consents and waivers. Finally, you understand and agree that the purpose of this streaming platform is purely educational in nature and in no way constitutes providing clinical care, medical advice, or the existence of a patient-doctor relationship.

The Streaming Members shall obtain informed consent (“Informed Consent”) from their patients, ensuring that patients sign and understand a consent form that covers the recording and sharing of their surgery. The form of the Informed Consent shall:

  1. Identity protection and right to revoke consent, informing patients that efforts will be made to de-identify recordings and protect their PHI, and that they have the right to withdraw consent at any time without affecting their medical care;
  2. Clarify that the virtual presence of professionals during surgery is for educational purposes only and does not create a patient-physician relationship with attendees;
  3. Contain the patient’s express consent for live streaming, storage, and future educational use of surgery recordings on video streaming platforms without any compensation for the use or distribution of these recordings;
  4. Require patients confirm their understanding and agreement to the terms stated in the consent form;
  5. Assuring patients that their decision regarding the recording will not impact the quality or availability of their medical care.

Streaming Members shall maintain records of patient consents and make them available for our review upon request.

It is the sole responsibility of the streaming member to ensure that no personal health information is shared during the live stream. We require streaming members to begin the live stream only after the patient has been draped for surgery and to end the live stream before the patient is undraped at the conclusion of the surgery.

Certain members and invited registered viewers may have the opportunity to join a streaming member virtually during the live stream of the case. By joining the live video stream, you agree not to share any personal health information during this video conference. You understand and agree that the purpose of this streaming platform is purely educational and does not constitute clinical care, medical advice, or the creation of a patient-doctor relationship. Additionally, you agree not to record this video stream unless you have explicit authorization from both the streaming surgeon and the patient. Violation of this may result in legal penalties.

Streaming Member Content and Platform Usage

As a Streaming Member, you authorize STYCH DNA to potentially utilize automated video editing systems to create draft video highlights for your review, editing, and potential publication on the Site. If you prefer that your surgical videos not be automatically edited into video clips, you have the right to opt out by emailing contact@stych.tv. Streaming Members agree that they cannot sell any video content, including recordings of surgeries, without obtaining explicit consent from the patient.

All members agree that all uploaded content and recorded videos are for educational or training purposes only and are not part of the patient medical records. STYCH DNA may remove the date and time stamp from each video recording and substitute a sequential number and/or letter to ensure that all PHI is removed from each video recording saved on our platform.

All members are aware that STYCH DNA cannot guarantee that their video recordings or uploaded content will be available or retrievable on our platform indefinitely. To conserve platform resources and reduce the environmental impact of storing videos. STYCH DNA will automatically delete video recordings that are not associated with any highlight clips on a regular basis. STYCH DNA may fully de-identify video recordings and associated highlight clips and preserve them for research and training purposes.

All members understand that any video recordings that need to be preserved indefinitely must be downloaded from our platform within 72hours after being recorded.

Intellectual Property

As between the parties, you retain all rights, title, and interest, including all intellectual property rights, in and to your user contributions. We retain all rights, title, and interest, including all intellectual property rights, in and to the site and the services. Except for the express rights granted herein, STYCH DNA does not grant any other licenses or access, whether express or implied, to any services, STYCH DNA software, additional STYCH DNA services or products, third-party equipment, or intellectual property rights. No ownership rights are conveyed to you under this agreement. You are required to maintain and not remove, obscure, or alter any copyright notice, trademarks, logos, trade names, or any other notices or identifications that appear on or in user contributions, third-party equipment or services, and any associated media and materials.

If your use or receipt of the services is, in STYCH DNA’s reasonable opinion, likely to infringe the intellectual property rights of any third parties, STYCH DNA may, at its discretion: (i) procure for you the right to continue using the services, or (ii) if STYCH DNA reasonably determines that option (i) is commercially impracticable or would violate applicable laws or regulations, terminate your status as a member and revoke your access to the site.

You have no obligation to provide STYCH DNA with ideas, suggestions, or proposals of any kind (collectively, "Feedback"). If you do provide any Feedback to STYCH DNA, we may use and incorporate such Feedback into STYCH DNA products, technologies, and services without any obligation, royalty, or restriction. This paragraph does not grant a license to you or waive any rights to patents, copyrights, trademarks, or other intellectual property by STYCH DNA. Where ownership of Feedback is not held by STYCH DNA, you grant STYCH DNA a non-exclusive, worldwide, royalty-free license, which is sublicensable and transferable, to make, use, sell, offer to sell, import, reproduce, publicly display, distribute, modify, or publicly perform the Feedback in any manner without any obligation, royalty, or restriction based on intellectual property rights or otherwise.

In accordance with the Digital Millennium Copyright Act (DMCA), we have implemented procedures for receiving written notification of claimed infringements and for processing such claims in accordance with the law.

Notification of Claimed Infringement

If you believe that any content available on or through the Site infringes upon any copyright you own or control, or that any link on the Site directs users to another website that contains infringing materials, please promptly notify our Designated Copyright Agent with a written notice (“Notice”) containing the following information:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that has been allegedly infringed;
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single Notice, a representative list of such works;

Counter-Notification Procedure

If you believe that your content was removed or access to it was disabled by mistake or misidentification, you may submit a written counter-notification to our Designated Copyright Agent. To be effective, the counter-notification must include substantially the following information:

  • Your physical or electronic signature;
  • Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;
  • A statement under penalty of perjury that you have a good faith belief that the content was removed or disabled as a result of mistake or misidentification of the content to be removed or disabled;
  • Your name, address, telephone number, and email address, and a statement that you consent to the jurisdiction of the federal court in your jurisdiction, and that you will accept service of process from the person who provided the original notification of claimed infringement or an agent of such person.
Repeat Infringers

STYCH DNA will terminate user accounts that are determined to be repeat infringers. A repeat infringer is a user who has been notified of infringing activity more than twice and/or has had infringing content removed from the Site more than twice.

Good Faith and False Claims

We require that any claims or counter-claims regarding copyright infringement be made in good faith. Submitting false claims or counter-claims can result in legal consequences, including liability for damages. If we determine that a user has knowingly submitted false claims or counter-claims, we reserve the right to take appropriate action, including terminating their account and pursuing legal remedies.

Monitoring and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Site, or other violation of law or regulation.
  • Terminate or suspend your access to all or part of the Site for any or no reason, or terminate your account, including without limitation, any violation of these Terms and Conditions.

Fully cooperate with any law enforcement authorities or court orders requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the site. You waive and hold harmless STYCH DNA and its affiliates, licensees, and service providers from any claims arising from any actions taken by these parties during or as a result of their investigations, as well as from any actions taken as a consequence of investigations by these parties or law enforcement authorities.

However, we cannot review all User Contributions before they are posted on the Site, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for the performance or non-performance of the activities described in this section.

Content Standards

These content standards apply to all user contributions and use of the services, without limitation of any other requirements set forth in these terms and conditions or any other agreement between us, including, without limitation, any non-disclosure agreement (NDA). User Contributions must, in their entirety, comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and Conditions and the Site’s Privacy Policy.
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.
  • Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
  • Involve commercial activities that violate these terms and conditions or that we, at our sole discretion, deem inappropriate.
  • Give a false impression that they emanate from or are endorsed by us or any other person or entity.

  8. Your Regulatory Non-Compliance, including but not limited to HIPAA, GDPR, and other applicable laws;
